Electronic End-User License Agreement
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or single entity) and Profuz Digital ("Profuz", referred to as "Copyright Holder" ). By installing this software you accept to be bound by all the terms and conditions of this agreement.
This Profuz EULA accompanies the Profuz software products and related supplemental printed and electronic materials, and associated media ("Software"). The term "Software" also shall include any upgrades, modified versions or updates of the Software licensed to you by Profuz. The term “License key” is used for the supplied in electronic form key which holds the actual license to use the software. License key may not be distributed. Distribution of license key may result in blocking and/or termination of your license to use the software. If you do not agree to the terms of this EULA, do not install, copy, or use the Software.
If you accept this Agreement, Profuz grants to you a nonexclusive license to use the Software for your own usage, then and only then if you agree to the following:
1. Grant of license - use of the Software.
The Software is licensed, not sold.
• You may install the Software on the hard disk of as many PC workstations as you like.
• You may make up to 2 backup copies of the Software exclusively for your data safety.
• You may NOT under any circumstances make and distribute any copies of the Software without the explicit written permission by Profuz.
• You may use the software only on these PC workstations which have the dedicated license key(s) installed.
2. Copyright and Trademarks.
The Software is owned by Profuz. Its structure, organization and code are valuable trade secrets of Profuz and its suppliers. The Software is protected by the Bulgarian Copyright Law as well as by international copyright treaties. You may use trademarks only if required to comply with Section 1 of this Agreement and to identify any output produced by the Software, in accordance with accepted trademark practice, including identification of trademark owner's name. Such use of any trademark does not give you any rights of ownership in that trademark. Except as stated above, this Agreement does not grant you any intellectual property rights in the Software.
3. Restrictions.
• You agree not to modify, reverse engineer, adapt, translate, disassemble, decompile, tamper with copyright protection or otherwise attempt to discover the source code of the Software.
• You may not alter or modify the installer program or create a new installer for the Software.
• You may not resell, rent, lease or transfer the Software license to a third party by any means without the explicit written authorization from Profuz.
• You may not use the Software in any way other than as expressly permitted under this agreement.
4. Warranty.
Profuz warrants that the Software will provide the facilities and functions generally described in the Documentation for the period of ninety days, from the date of sale. Profuz also warrants that the media on which the Software is furnished, the Documentation accompanying the Software will be free from defects in materials and workmanship under normal use. PROFUZ DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. PROFUZ AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL PROFUZ OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A PROFUZ REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. If your local law or jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages, or the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above warranty limitations may not apply to you. In addition to the above warranty rights, you may also have other rights, which vary from jurisdiction to jurisdiction.
5. Governing Law.
This Agreement will be governed by the laws of Bulgaria, excluding the application of its conflicts of law rules.
6. General Provisions.
Installation and use of this software signifies acceptance of this EULA inclusive of any future updates. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement in whole, which shall remain valid and enforceable according to its terms. This Agreement shall automatically terminate if you fail to comply with its terms. This Agreement may only be modified in writing signed by an authorized officer of Profuz.
This agreement is unpublished, all rights reserved under the copyright laws of Bulgaria.
